Terms of Use

These Terms of Use explain ET Inc.’s (“ETI” or “we” or “our”) policy for use of this site (lara.etadvisory.com) and any related sites (together the "Site"), and you agree to abide by its rules and policies, including any changes that may be made subsequently.

Anyone accessing, or viewing the Site ("Visitor") or using the services provided through this site ("Services") is deemed to be a user ("User") and to agree to this Terms of Use. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE SITE. A User who is granted access to the application Lara^© is termed a Member, and subject to membership terms.

Users are deemed to have a legally binding agreement with

and our subsidiaries and affiliates (together "ET Group"), in association with the use of the ETI website, which includes lara.etadvisory.com (the "Site") and its Services, which shall be defined below.

We reserve the right to change these Terms of Use at any time in our sole discretion, but will notify the Users with the date of last update. Continued usage is at the discretion of the User, but the updated terms of usage shall be binding nevertheless.

Services Provided

The Site provides advanced risk analysis and related services as described below:

Terms for Members

1. Members may be entities such as companies or individuals engaged in business.
2. Members must be in good standing with ETI as well as the laws and regulations applicable to them, and undergo a mandatory acceptance and onboarding process before they are able to use Lara^©.
3. ETI may, from time to time, update its policies for member qualification and continuation of usage and all Members agree to abide by it.
4. Members must provide accurate and truthful information about themselves and use the Site for their own account only.
5. Members must update information about them to keep it recent and accurate.
6. Members must provide all information requested by ETI for verification, payment and service usage setup.
7. Members must maintain their user ID securely and not allow third parties to use it, unless ETI expressly allows it.
8. Members must alert ETI immediately at our customer support address, support.lara@etgroup.jp in case of any breach of security or unauthorized use of their account, password or personal information.
9. Upon cancellation or termination of a Member's account, ETI reserves the right to deactivate the Member's account, delete user profile and any and all associated data.

Terms for Services

1. ETI requires collection of user information such as full name, e-mail address, residence and/or company registration details, location and other personal details for provision of services.
2. Member agrees to provide additional details regarding payment, usage objective etc. before usage is approved by an Onboarding process.
3. If a Site visitor is found to have knowingly provided false information either before registration or afterwards, ETI reserves the right to suspend, ban or otherwise take action against the user.
4. Services may be denied to members for activities that are illegal, violate IP rights, impersonate anyone or another entity, or otherwise knowingly obstruct the operations of the Site.
5. Membership may be revoked when a Member is engaged in illegal activities, violated copyrights or intellectual property rights, is bankrupt or has applied for bankruptcy protection.

Terms for Services for Lara^©

1. Member may use Lara^© under the conditions of usage agreed to including license level, language, region and similar conditions related to use of Lara's functionalities.
2. Member agrees to allow usage of data uploaded for improvement of system capabilities and performance without conditions. Members not willing to accept this may request for cancellation of membership.
3. Site and Lara^© use various technologies including web technologies such as Javascript solely for the benefit of its users and Member agrees to such usage as ETI may see appropriate. Please also refer to our Privacy Policy.
4. ETI reserves the right to make changes to the site and/or functionality without notice to Members, especially with regards to the upholding and improvement of security and privacy related matters.
5. Members and visitors to the site agree not to copy, reproduce or otherwise violate the rights of ETI and other parties involved in the provision of Services.
6. Site may include links to other ETI group companies, and third-party sites. Site visitors and Members agree that does not bear any responsibility for other sites, their contents and usage.
7. Links to Site is allowed under Fair Usage concepts, as long as there is no characterization in a false, misleading, derogatory or otherwise offensive or damaging manner to ET Group.
8. Services to Members do not include any means of access such as computer, smartphones, internet connections.
9. Payments are not refundable.

Privacy Policy

Registration data and various other personal information of members are strictly protected by the ETI Online Privacy Policy (cf. https://lara.etadvisory.com/privacy). As a member, you herein consent to the collection and use of the information provided, including the transfer of information for storage, processing or use by ETI and/or our subsidiaries and affiliates, all in accordance with local regulation applicable.

Disclaimer

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS. UNLESS EXPLICITLY STATED OTHERWISE OR REQUIRED UNDER APPLICABLE LAW, ETI DISCLAIMS ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF ACCURACY, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. ETI MAKES NO REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES AS TO THE USEFULNESS, QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF THE SITE OR THE SERVICES PROVIDED THEREIN. ETI MAKES NO WARRANTY OR REPRESENTATION THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF ANY VIRUSES, TROJAN HORSES OR WORMS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ETI, ITS AFFILIATES AND ANY OTHER OF ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, USE, DATA, OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THE SERVICES, EVEN IF ETI HAS PREVIOUSLY BEEN ADVISED OF, OR REASONABLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, HOWEVER THEY ARISE, WHETHER IN BREACH OF CONTRACT OR IN TORT (INCLUDING NEGLIGENCE), INCLUDING, WITHOUT LIMITATION, DAMAGES DUE TO:

Indemnification

You will indemnify, defend and hold ETI, and its subsidiaries, affiliates, predecessors, successors in interest, officers, managers, agents, licensors and employees, harmless from any claims, demand, loss or expense, including reasonable attorney's fees, made by any third party relating to or arising out of your use of the Site, your violation of these Terms of Use or your violation of any third party's rights, including the infringement of a third party's intellectual property rights by your Submissions. You agree not to hold ETI responsible for any action, inaction, omission or misstatement made by other users or for any harm arising from the Services or the Site.

Violations of Terms of Use; Termination

Without prior notice and in our sole discretion, ETI reserves the right to terminate your account and access to our Site without refund and to block future access to our Site for any violations of these Terms of Use.

Waiver and Severability

Any express waiver or failure to exercise promptly any right under these Terms of Use will not create a continuing waiver or any expectation of non-enforcement. If any provision of these Terms of Use is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of these Terms of Use will remain in full force and effect.

Disputes; Governing Law

All matters relating to the Site and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of Japan without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the district court of Tokyo, Japan. By using the Site, you waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Headings

Headings used herein are for convenience of reference only and will in no way affect the interpretation of these Terms of Use.

Miscellaneous

You shall not assign the Terms of Use or any of your rights or obligations hereunder, and any purported assignment of the Terms of Use by you in contravention of the foregoing shall be null and void.

No agency, partnership, employment, or joint venture is created through the Terms of Use.

ET shall not be liable for any failure or delay in its performance under the Terms of Use (including, without limitation, provision of the Services) due to any cause beyond its reasonable control, including acts of war, acts of God, earthquake, flood, pandemic, medical emergencies, embargo, riot, sabotage, labor shortage or dispute, governmental acts, acts of third parties, failures of third party software or equipment (including, without limitation, Third Party Components), power or electrical failures, internet protocol packet loss or misrouting, and any internet connectivity failures.

These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and ETI with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site. Members may be bound by additional Terms and Conditions specific to Lara^©.
